Status: Draft for counsel review
Effective date: [EFFECTIVE DATE]
These Terms of Use (“Terms”) govern access to the Jannie website and use of Jannie accounts by authorized representatives, administrators, workers, and other users. “Jannie,” “we,” “us,” and “our” mean [JANNIE LEGAL ENTITY NAME], a Florida company with an address at [BUSINESS ADDRESS].
1. B2B service and authority
Jannie is offered to businesses, not for personal or household use. If you use Jannie for a company or other organization (“Customer”), you represent that you are authorized to act for that Customer and that the Customer is responsible for your use.
You must be at least 18 years old. Jannie is not intended for health-care providers, schools, minors, or government entities unless Jannie expressly agrees in writing after a separate compliance review.
2. What Jannie does
Jannie is operational software that can record workforce and location information, attendance events, supporting evidence, approved operational data, payroll inputs, billing inputs, and related business records. Jannie may organize customer-approved information and generate a NACHA-formatted file for the Customer to review, download, and independently submit to its bank.
3. What Jannie does not do
Jannie is not an employer, staffing agency, payroll processor, bank, money transmitter, tax preparer, law firm, accounting firm, or professional employer organization. Jannie does not:
- classify workers;
- determine whether a person should be hired, assigned, disciplined, paid, or terminated;
- calculate wages, overtime, minimum wage, taxes, withholding, benefits, garnishments, breaks, union obligations, or legal entitlements;
- prepare, certify, file, or replace Forms W-9, W-4, I-9, 1099, or other tax or employment forms;
- initiate, transmit, settle, or guarantee a banking transaction; or
- determine that fraud or unlawful conduct occurred.
The Customer must independently review and approve all operational, payroll, billing, tax, and banking information.
4. Artificial intelligence
Jannie AI provides informational summaries and operational assistance. Its output may be incomplete or incorrect. It does not provide legal, tax, accounting, employment, financial, or compliance advice and does not take autonomous action. A human authorized by the Customer must review all output before relying on it.
Do not enter Social Security numbers, tax-identification numbers, account or routing numbers, dates of birth, photographs, precise coordinates, NACHA files, passwords, or other restricted data into an AI prompt.
5. Accounts and security
You must provide accurate information, protect credentials and PINs, use only the account assigned to you, and notify contact@jannie.app promptly of suspected unauthorized access. You may not share credentials, bypass access restrictions, test another tenant’s access, or use Jannie to obtain information outside the Customer organization that authorized you.
6. Customer and worker records
The Customer controls its business records. Jannie processes those records to provide the service and does not claim ownership of them. Personal information remains subject to applicable privacy rights. Jannie owns the service, software, interface, documentation, brand, and related technology.
7. Location, photographs, and banking information
Precise location may be requested only when a user initiates clock-in or clock-out. Jannie does not continuously track users. If required location permission is declined, the digital attendance action cannot be completed; the Customer, not Jannie, is responsible for any alternative process or employment-related consequence.
Evidence photographs must relate to the worksite or service and must not intentionally capture faces, identity documents, private papers, payment cards, license plates, health information, or other unnecessary personal information.
Banking information is used only to support Customer-controlled direct-deposit records and generation of a customer-reviewed NACHA file. Jannie does not submit that file or move funds.
8. Acceptable use
The Acceptable Use Policy is incorporated into these Terms. You may not use Jannie unlawfully, upload malicious code, infringe rights, falsify records, impersonate another person, conduct surveillance, or use the service to make unlawful or solely automated employment decisions.
9. Third-party services
Jannie uses service providers, including cloud hosting, database, authentication, email, and AI providers. Their availability can affect Jannie. The current list is published in the Subprocessor List.
10. Intellectual property and feedback
Subject to these Terms and the Customer’s agreement, Jannie grants you a limited, revocable, nonexclusive, nontransferable right to use the service for the Customer’s internal business operations. No ownership rights are transferred. If you submit feedback, Jannie may use it without restriction or compensation, provided it does not disclose Customer Confidential Information or personal information.
11. Suspension and termination
Jannie may suspend access reasonably necessary to prevent security harm, unlawful use, nonpayment, or material breach. The Customer agreement governs account termination, export, retention, and deletion.
12. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” JANNIE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SUITABLE FOR A CUSTOMER’S PARTICULAR LEGAL, TAX, EMPLOYMENT, ACCOUNTING, OR BANKING REQUIREMENTS.
Nothing in these Terms waives a worker’s nonwaivable rights or permits a Customer to withhold compensation for work actually performed.
13. Limitation of liability
To the maximum extent permitted by law, Jannie will not be liable under these Terms for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, data, or business opportunity. Any contractual liability cap applicable to a Customer is stated in the Master SaaS Agreement or Order Form. [COUNSEL: confirm exclusions and enforceability.]
14. Governing law and disputes
Florida law governs these Terms without regard to conflict-of-law principles. State and federal courts located in [FLORIDA COUNTY], Florida will have exclusive jurisdiction, unless the Customer’s signed agreement states otherwise. [COUNSEL: confirm venue and whether arbitration is desired.]
15. Changes
We may update these Terms prospectively. Material changes will be presented through the service or by email before taking effect when required. Continued use after the effective date constitutes acceptance where permitted by law.
